ILLINI CLUB OF McLEAN COUNTY
CONSTITUTION AND BYLAWS
ARTICLE I. NAME
The name of this organization shall be the Illini Club of McLean County, hereafter referred to as ICMC.
ARTICLE II. PURPOSES
The purposes of this organization shall be:
- To provide an environment that supports camaraderie among University of Illinois alumni and friends of the University and increases the knowledge of the University among members and the general public.
- To promote, encourage, and maintain a cohesive relationship between McLean County area alumni, the University of Illinois Alumni Association, hereafter referred to as UIAA, and the University of Illinois.
- To support future University of Illinois students through information and identification of highly qualified area high school students to award scholarship funding.
- To promote and maintain programs that enhance networking with local peers.
- To seek, develop and provide membership services to University of Illinois alumni in the McLean County area.
- To periodically re-evaluate the above purposes and ensure that they are carried out in a proper fashion.
- The Club shall be a non-profit and non-political entity existing only for the purposes stated above.
ARTICLE III. MEMBERSHIP
A. Eligibility
University of Illinois alumni and non-alumni friends of the University are eligible to be members of ICMC. Members are required to pay annual dues as set forth by the ICMC board of directors. Members of ICMC shall be accepted without discrimination on the basis of race, religion, national origin, disability, sex, sexual preference, age, creed, marital status, parental status or veteran status.
B. Privilege of Membership
Members shall have the right to attend all meetings, vote at general membership meetings, and participate in all ICMC-sponsored activities, at special Club prices when applicable.
C. Dues
ICMC dues of $25 (2011) per individual or household shall be charged on an annual basis providing active membership status for 12 months following the date of payment processing. Dues amounts shall be approved annually by a two-thirds vote of the board of directors and shall be noted on the website.
ARTICLE IV. BOARD OF DIRECTORS
A. Titles
The board of directors of ICMC shall include elected officers: president, vice president, treasurer, secretary, and any other positions the Club wishes to create. Up to three directors may also be elected to the board of directors.
B. Eligibility
Anyone interested in being an officer or director of ICMC shall be eligible for election provided that he/she:
- Is a University of Illinois alumnus.
- Is a member in good standing of ICMC at the time of nomination and remains a member in good standing throughout his/her term in office.
- Has met with the current board of directors to understand the details of the desired position.
C. Authority
- Shall have the authority to fill all vacancies of officers or directors by appointment between elections.
- Shall have the power to establish annual dues to be collected from eligible members.
- Shall have the authority to obligate funds in excess of $500 by affirmative vote of the majority of those responding. Expenditures less than $500 may be pproved by the president and treasurer.
D. Elections of Officers and Directors
Officers and directors shall be nominated in advance and elected by ballot at the election meeting in April. A two-thirds vote of the members present shall be necessary to elect. When there is only one nominee for an office, there may be a voice vote. Officers and directors shall take office immediately at the close of the meeting during which they are elected. All terms shall expire on the date of the next annual election meeting. There shall be no limit to the number of consecutive terms any person may run for re-election.
E. Vacancies of Offices
If any position shall become vacant except for the presidency, the board of directors shall, at the earliest possible date thereafter, agree by two-thirds vote to appoint a replacement. The member thus appointed shall immediately enter his/her duties and shall hold office until the next regular election. The vice president shall assume the role as acting president if the president is unable to complete his/her term.
F. Removal of Officers and Directors
Any officer or director may be removed of his/her title by a two-thirds vote of the remainder of the board of directors. A replacement shall be appointed as soon as possible.
G. Voting Powers
All officers and directors retain board of directors voting rights. However, the president often votes only in the event of a tie.
H. Duties of the Officers and Directors
1. The President shall:
- Preside at all general membership and special meetings.
- Act as chair person of the board of directors.
- Appoint committees and serve as ex-officio member of said committees.
- Assist treasurer in the preparation of an annual budget by June 1.
- Prepare/approve information for inclusion on the website and/or newsletters.
- Schedule Club meetings and approve schedule for all other events.
- Ensure that other officers perform their duties.
- Prepare the annual report to the UIAA with information provided by officers, directors, and committee chairs.
- Serve as the ICMC primary liaison to the UIAA and represent the Club, or select a surrogate if he/she chooses not to attend, at the annual UIAA Club Leadership Conference.
2. The Vice President shall:
- Be an aide to the president.
- In case of the absence or disability of the president, assume the duties of the president. If the president is unable to complete his/her term the vice president shall complete the unexpired term.
- Oversee all committees in the planning and execution of projects and activities.
- Prepare/approve information for inclusion on the website and/or newsletters.
3. The Treasurer shall:
- Present a budget to the membership for the finances of the ICMC with approval needed by the president and the board of directors by June 1.
- Process all financial disbursements and collections of the ICMC.
- Oversee all potential expenditures related to Club projects and activities.
- See to the best of his/her abilities that money used on behalf of the ICMC is used wisely and in a manner which suits the purposes of the Club.
- Maintain and monitor the Club postal service box for receipt of manual payments/bills.
- Prepare the financial portion of the annual report for submission to the UIAA.
4. The Secretary shall:
- Keep a written record of all meetings in order to provide the ICMC with a record of issues discussed, problems posed, ideas raised and of the people who participated in the group for the benefit of the ICMC and its members.
- Provide meeting records to the webmaster and all executive board members within one week of each meeting.
- Recite or re-summarize the record of prior meeting minutes for approval by the membership.
- Periodically mail hard copies of flyers/letters to members without e-mail access.
- Complete written correspondence to outside agencies if needed.
- In case of absence, have a substitute appointed that day by any member of the executive board.
5. The Directors shall:
- Attend ICMC meetings for the purposes of group discussion and collection of ideas.
- Actively assist with the planning and execution of ICMC events and activities.
- Assist with marketing and fundraising, member and sponsor acquisition, and other means that progress the goals and reason for existence of the Club.
- Serve as consultants to ICMC officers and committees.
- Prepare information for the website and/or newsletters with approval of the president.
ARTICLE V. COMMITTEES
ICMC members may join as many committees as they wish, subject to the needs of the individual committees. Each committee shall be led by a committee chairperson. Committee chairs must provide a written report of committee progress before each general membership meeting or at the request of the president. The following must be presented in the committee reports:
- Committee name.
- Committee chairperson.
- A list of people who helped your committee complete each goal.
- A list of goals accomplished since the last meeting.
- A list of goals that were not completed, and an explanation of why and what action will be taken.
- A list of goals you plan to accomplish by the next meeting.
- Indication of any announcements that need to be made to the general membership.
A. The Membership committee shall be responsible for promoting the ICMC to area alumni, parents of current and potential upcoming University of Illinois students, and non-alumni friends of the University.
B. The Fundraising committee shall develop, advertise, and execute projects to finance the Club, commonly in conjunction with the Events/Activities committee.
C. The Events/Activities committee shall develop, advertise, and execute events and activities for ICMC. In the event of fundraising activities, the Fundraising and Events/Activities committees shall work jointly, as needed.
D. The Scholarship committee shall:
- Prepare/update the ICMC Scholarship Application form annually.
- Distribute the Application to all McLean County area high schools and the Club webmaster by February 1, ensuring that counselors at all schools are familiar with the scholarship.
- Collect and review scholarship applications, culminating with selection of scholarship winner(s).
- Provide news releases to local media and ICMC webmaster announcing scholarship availability when applications are first accessible and also after scholarship selection has been made.
- Assist with planning/promotion/execution of Decide I or other event for upcoming freshmen.
E. The Webmaster shall:
- Publish information provided by the board of directors and/or committees.
- Distribute e-mail newsletters as provided by the board of directors and/or committees.
- Forward in-coming Club-related e-mails to appropriate board members/committees for action/response.
- Respond to in-coming e-mails pertaining to use of the website.
- Provide website data to the executive board prior to meetings or at request of president.
- Maintain the data base of active/eligible members via the website.
- Distribute prepared renewal notice for expired memberships monthly.
- Manage website in conjunction with website application provider.
ARTICLE VI. MEETINGS
A. Time and Place
Board of directors meetings shall be held at least once per year at a time and place determined by the president. The president shall also call at least one meeting of the general membership each year. Additional meetings shall be called as frequently as necessary in order to carry out the purposes of the Club. The place and hour of all meetings shall be determined by the president and publicized at least two weeks in advance. The UIAA shall be informed of all Club meetings and activities through correspondence or as part of the annual report to the UIAA.
B. Types of Meetings
- Board of Directors meetings—periodic meetings of officers and directors.
- General membership meetings—periodic meetings of all Club members.
- Election meeting—annual meeting of all members for the purpose of electing officers held in April.
- Special meetings—called as needed to include appropriate board/committee members
C. Quorum
Quorum for board of director meetings shall consist of 50 percent of the voting board members. Quorum for general membership, annual election and special meetings shall be those active members present, provided proper notice was given as defined in the bylaws.
ARTICLE VII. FINANCES
Finances shall be controlled primarily by the president and treasurer. Expenditures greater than $500 shall require the majority vote of officers and directors. There must be a budget each year as proposed by Article IV. All funds must be spent on organizational purposes only. The transfer of power for controlling all funds shall be done within one week following the appointment of the new officer.
ARTICLE VIII. EXTERNAL AFFILIATIONS
- University of Illinois Alumni Association (UIAA). ICMC shall be governed by applicable UIAA regulations as well as its own.
- University of Illinois I Fund. ICMC shall support I Fund through an annual donation as determined by the executive board.
ARTICLE IX. FISCAL YEAR
The fiscal year for the Club shall begin on June 1 and end on May 30 of the following year.
ARTICLE X. AMENDMENTS
This constitution may be amended at any general membership meeting of the organization by a two-thirds vote of the active (dues paid) members present, provided that the amendment proposed had been submitted in writing to the president and posted in a conspicuous location for at least two weeks prior to the meeting. All amendments, additions and/or deletions to the constitution of the above named organization shall be adopted only after a vote of two-thirds of the members present.
ARTICLE XI. DISSOLUTION
In the event of dissolution of the above named organization, all unspent ICMC funds shall be transferred to the UIAA and earmarked for scholarships for students who reside within the boundaries of McLean County, Illinois.
